Terms of Service

These Terms of Service ("Terms") govern your access to and use of XOROX, operated by Devinvestory OÜ, an Estonian private limited company (registry code 14994085), registered at Nurme tn 3, Rapla linn, Rapla vald, Rapla maakond, 79511, Estonia ("XOROX," "we," "us"). By creating an account or otherwise using XOROX, you agree to these Terms. If you don't agree, don't use XOROX.

1. Agreement to these Terms

Creating a XOROX account, or otherwise accessing or using the service, means you agree to be bound by these Terms and our Privacy Policy. The current XOROX signup flow does not require a separate checkbox confirming this — using the service is itself your agreement to these Terms.

2. Eligibility and authority

You must be legally capable of entering into a binding agreement to use XOROX. If you're using XOROX on behalf of an organization, you confirm that you're authorized to act for that organization and to bind it to these Terms, and "you" in that context refers to that organization as well as you individually.

3. Service description

XOROX is a service for managing project context and work — Rulesets, Specifications, and Tasks — and making that information available to supported coding-agent integrations. Cursor is currently a supported integration; XOROX may add support for other coding agents over time, and these Terms apply regardless of which integration you use.

4. Accounts and credentials

You're responsible for:

  • keeping your account credentials and any project credentials (API tokens) secure;
  • the access you grant to team members you invite to a workspace; and
  • activity that occurs through your account or credentials, except to the extent it results from our own failure to secure the service.

5. Acceptable use

You agree not to:

  • use XOROX for any unlawful purpose;
  • abuse, disrupt, or interfere with the service or its infrastructure;
  • access accounts, workspaces, or data you're not authorized to access;
  • misuse, share, or attempt to extract another user's credentials;
  • attempt to circumvent service limits or security controls; or
  • use automated means to abuse the service, or infringe the rights of others.

6. Your content

You retain ownership of the Rulesets, Specifications, Tasks, and other content you submit to XOROX ("User Content"). By submitting User Content, you grant us only the rights necessary to host, store, process, and transmit it in order to provide the service to you — including making it available to the coding-agent integrations you connect. We don't claim ownership of your User Content.

7. AI and coding-agent outputs

XOROX provides context and work items to third-party coding agents, but it does not generate, control, or guarantee the correctness, safety, or quality of code or other output those agents produce. You remain responsible for reviewing and testing any code or output generated with the help of a coding agent before relying on it.

8. Third-party services

XOROX integrates with third-party services — including coding-agent integrations and our payment processor, Stripe — which have their own terms and policies. We aren't responsible for the acts, omissions, or availability of third-party services, beyond what's reasonably within our control as the provider of XOROX.

9. Plans, subscriptions, and billing

XOROX offers paid subscription plans. Current pricing and plan details are shown on the XOROX website and at checkout. Subscriptions renew automatically for successive billing periods matching your selected billing term, unless cancelled before renewal. Payments are processed by Stripe; see our Privacy Policy for how that works.

You can cancel your subscription at any time through the Stripe Customer Portal, accessible from your workspace billing settings. Cancelling stops future renewal from the effective date shown in the Customer Portal at the time you cancel; it does not retroactively refund amounts already paid. Payments are generally non-refundable, except where required by applicable law. Nothing in these Terms limits any statutory right you may have that cannot be waived by agreement.

10. Trials and promotions

We may offer free trials or promotional pricing on certain plans from time to time. Trial length and eligibility are shown at signup or checkout and may vary by plan. We may modify, limit, or withdraw trials and promotions at any time, including for future signups.

11. Availability and changes

We aim to keep XOROX available and reliable, but we don't guarantee uninterrupted or error-free operation. We may perform maintenance, and may update, change, or discontinue features of the service, from time to time.

12. Intellectual property

XOROX retains all rights in the XOROX service, software, and branding. Nothing in these Terms transfers any of that to you. As described in Section 6, you retain all rights in your own User Content.

13. Suspension and termination

You may cancel your subscription or stop using XOROX at any time. We may suspend or terminate your access to XOROX, or a specific workspace, if we reasonably believe you've violated these Terms, if needed to protect the security or integrity of the service, or for non-payment of applicable fees.

14. Disclaimers

XOROX is provided "as is" and "as available." We don't warrant that the service, or any output produced with the help of a connected coding agent, will be error-free, uninterrupted, or fit for a particular purpose. To the extent permitted by law, we disclaim all other warranties, express or implied.

15. Limitation of liability

To the maximum extent permitted by law, XOROX and its operator won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising from your use of the service. Our total liability for any claim relating to XOROX is limited to the amount you paid us for the service in the twelve months before the claim arose.

16. Indemnity

You agree to indemnify and hold XOROX harmless from claims arising out of your misuse of the service or your violation of these Terms, to the extent permitted by law.

17. Governing law

These Terms are governed by the laws of Estonia, without regard to its conflict-of-laws principles. Disputes arising under these Terms are subject to the jurisdiction of the courts of Estonia, without prejudice to any mandatory consumer-protection rights you may have in your own country of residence.

18. Changes to these Terms

We may update these Terms as XOROX evolves. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Continued use of XOROX after changes take effect means you accept the updated Terms.
